Welcome to Jua ("Jua," "we," "us," or "our"). Jua is a prediction market platform that lets eligible participants trade outcome shares on events, primarily focused on Africa. By creating an account or using the platform, you agree to these Terms of Use and our Privacy Policy.

1. Acceptance

If you do not agree to these terms, do not use Jua. We may update these terms from time to time. Continued use after changes take effect constitutes acceptance of the revised terms. Material changes will be highlighted on this page with an updated "Last updated" date.

2. Eligibility

• You must be at least 18 years old.
• You must be legally permitted to use prediction markets and related financial services in your jurisdiction.
• You may not use Jua if you are located in a jurisdiction where such activity is prohibited, or if we have previously suspended or banned your account.
• You are responsible for complying with local laws, including tax and reporting obligations related to your participation.

3. The platform

Jua operates as an outcome trading platform. Participants buy and sell shares that pay out based on how markets reveal. Share prices reflect market sentiment and available liquidity — they are not guarantees of future events.

Trading is denominated in USDC. Where shown, local currency references (such as KES) are for convenience only and do not change settlement currency unless we expressly say otherwise.

We may offer house-priced markets, peer-to-peer order books, or both. Features, markets, and payment methods may change, be limited by region, or be gated by account verification.

4. Accounts

• You must provide accurate registration information and keep it up to date.
• You are responsible for activity under your account, including connected wallets and authentication methods.
• Do not share credentials or allow others to trade through your account.
• We may require identity verification (KYC) before deposits, withdrawals, higher limits, or certain features. Failure to complete verification may restrict your account.

5. Markets, predictions, and reveals

Each market has published rules describing the question, outcomes, timeline, and how the market will reveal. You should read those rules before trading.

• Markets are curated or approved according to our moderation processes. We may pause, cancel, or amend markets when rules are ambiguous, sources are unavailable, or integrity is at risk.
• Outcomes reveal according to the market's stated source and process. Administrators may intervene when sources conflict or rules require clarification.
• If a market is voided, we will unwind positions in line with the published process for that market (typically returning remaining stake value net of already charged fees, unless otherwise stated).
• Disputes must be raised through the channels we provide and within any stated window. Our determination after review is final for platform settlement purposes, without prejudice to rights you may have under applicable law.
• All market resolutions use Coordinated Universal Time (UTC). Deadlines and times stated in market rules are interpreted in UTC unless a market expressly says otherwise.
• Verification links for market outcomes must be publicly available and provided by a verifiable, trustworthy source — such as a government body, reputable news agency, or an official company or brand publication. Social media posts (including Instagram, TikTok, Facebook, X, and similar platforms) do not count as verifiable sources. We may reject or void markets that rely on private, paywalled, social-media-only, or otherwise unreliable sources.

6. Funds, deposits, and withdrawals

• You may fund your account via supported methods (for example crypto deposits and, where enabled, local payment rails such as M-Pesa). Availability depends on region, feature flags, and provider status.
• Deposits and withdrawals may involve third-party processors, network fees, FX conversion, and spreads. Displayed estimates are not final until confirmed on-chain or by the payment provider.
• We may delay, reverse, or refuse transactions that appear fraudulent, erroneous, or non-compliant with law or these terms.
• Blockchain transactions are irreversible once confirmed. Double-check addresses and networks before sending assets.
• Balances shown in the app reflect our ledger and on-chain state as we reconcile them. Temporary discrepancies can occur during processing.

7. Fees

Trading may incur market (creator) fees, platform trading fees, and funding-related spreads or processor charges. Default rates and per-market overrides are disclosed in the product UI at the time of trade where practicable.

We may change fee schedules with notice via the platform. Fees already charged on completed trades are generally non-refundable except where required by law or where we void a market under our policies.

8. Prohibited conduct

You agree not to:

• Manipulate markets, engage in wash trading, spoofing, or coordinated price distortion.
• Use bots, scrapers, or automated trading systems except where we expressly permit an API or integration.
• Exploit bugs, latency, or settlement errors; you must report material issues promptly.
• Create markets or content that is illegal, deceptive, hateful, or infringes others' rights.
• Circumvent geographic, KYC, or account restrictions; use stolen funds or wallets; or launder money.
• Impersonate others, harvest personal data, or interfere with platform security or availability.

We may investigate, freeze balances related to suspected abuse, restrict features, or terminate accounts. We may also report activity to competent authorities where required.

9. Risk acknowledgment

Prediction markets involve substantial risk of loss. Past performance is not indicative of future results. You should only allocate funds you can afford to lose and review our Responsible trading guidance. Jua does not provide investment, legal, or tax advice.

10. Intellectual property

The Jua name, branding, interface, software, and documentation are owned by us or our licensors. You receive a limited, revocable license to use the platform for its intended purpose. You may not copy, reverse engineer, or resell the service except as allowed by law or written permission.

By submitting content (including market proposals or profile information), you grant us a non-exclusive license to host, display, and use that content to operate and improve the platform.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted access, error-free settlement, or that market prices or reveals will match your expectations.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUA AND ITS AFFILIATES, OFFICERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR TRADING LOSSES, ARISING FROM YOUR USE OF THE PLATFORM.

Our aggregate liability for claims relating to the platform will not exceed the greater of (a) fees you paid to us in the three months before the claim, or (b) one hundred US dollars (US$100), except where liability cannot be limited under applicable law.

13. Indemnity

You agree to indemnify and hold harmless Jua from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these terms, your violation of law, or your misuse of the platform.

14. Suspension and termination

You may stop using Jua at any time. We may suspend or terminate access immediately for breach of these terms, legal risk, or platform integrity concerns. Upon termination, we may restrict new trades while allowing lawful withdrawal of eligible balances, subject to compliance holds and outstanding obligations.

15. Governing law

These terms are governed by the laws of Kenya, without regard to conflict-of-law rules, unless mandatory consumer protections in your place of residence require otherwise. Courts in Nairobi, Kenya shall have exclusive jurisdiction over disputes, subject to those mandatory protections.

16. General

If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. These terms, together with the Privacy Policy and any market-specific rules you accept, constitute the entire agreement between you and Jua regarding the platform.
